These Terms of Use govern your use of alpinefs.com (the “Site”), operated by Alpine Fund Group, LLC (“Alpine Fund Solutions,” “Alpine,” “we,” “us” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Information only; no offer or advice

The Site describes Alpine’s fund administration services for general information. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or investment product. Nothing on the Site is investment, legal, tax, accounting or other professional advice, and you should not act on it without consulting your own advisors.

2. No client relationship

Using the Site, or contacting us through it, does not create a client, advisory or fiduciary relationship. Alpine provides services only under a written agreement signed by Alpine and the client. Please do not send confidential information until such an agreement is in place.

3. Accuracy of content

We aim to keep the Site accurate and current, but its content may contain errors or become out of date. Examples and illustrations on the Site are hypothetical, simplified and provided for illustration only. They do not reflect any actual fund, investor or result.

4. Intellectual property

The Site and its content, including text, graphics, logos, the Alpine name and mark, and the Site’s design, are owned by or licensed to Alpine and are protected by copyright, trademark and other laws. You may view and print pages for your own internal, non-commercial use. You may not copy, modify, distribute, republish or create derivative works from the Site without our prior written consent.

5. Acceptable use

You agree not to use the Site unlawfully; attempt to gain unauthorized access to the Site or its systems; interfere with its operation or security; introduce malicious code; or scrape, harvest or collect data from the Site by automated means without our written permission.

6. Third-party sites and platforms

The Site may link to third-party websites and services, including client and investor portals hosted by third-party technology providers. We do not control and are not responsible for their content, security or practices. Your use of them is governed by their own terms and policies and, for clients, by your service agreement with Alpine.

7. Disclaimer of warranties

The Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, secure or error-free.

8. Limitation of liability

To the fullest extent permitted by law, Alpine and its owners, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising from or related to your use of, or inability to use, the Site, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless Alpine and its owners, officers, employees and agents from any claims, losses and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms or your misuse of the Site.

10. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

11. Changes

We may update these Terms from time to time. The “Last updated” date shows when they last changed. Your continued use of the Site after an update means you accept the updated Terms.

12. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and Alpine about the Site.
